1. About these terms
“Digital Place Solution”, “we”, “us” and “our” mean the business operating digitalplacesolution.com. “You” means the company, organisation or person using the website or buying from us. By using the website, requesting a quote or placing an order, you agree to these terms.
We supply digital display equipment (including LED screens, digital billboards, televisions, interactive displays, signage and accessories) and related installation, maintenance and support services. We sell to businesses and trade customers, not to consumers.
2. Trade accounts
You confirm that you are buying for the purposes of a business and that the person placing an order has authority to bind your organisation. We may ask for company registration details, a tax identification number and trade references before opening an account or extending credit.
You are responsible for keeping account details accurate and for all activity under your account.
3. Quotes and orders
- A quote is an invitation to order. It is valid for 14 days unless it states otherwise.
- An order is accepted when we send written confirmation, or when we receive the agreed deposit.
- Specifications, photographs and performance figures on the website are for guidance. The quote or order confirmation lists the exact items supplied.
- Custom-sized, imported or special-order items cannot be cancelled once procurement starts.
4. Pricing and payment
Prices are quoted in the currency shown on the quote and are exclusive of applicable sales and use taxes, duties, and delivery unless stated. If you are tax-exempt or buy for resale, you must give us a valid exemption or resale certificate before we invoice. Unless agreed otherwise, we require a deposit on order and the balance before dispatch or on completion of installation, as set out in the quote.
Invoices are payable by the due date shown. We may charge interest on overdue amounts and suspend further supply until the account is settled. Because imported equipment is priced against exchange rates and supplier costs, we may revise a quote that has expired.
Title to goods stays with us until we have received full payment.
5. Delivery and risk
Delivery dates are estimates. We are not liable for delays caused by customs clearance, carriers, access problems at your site or events outside our control. You must inspect goods on delivery and report visible damage or shortages in writing within 48 hours, and note them on the delivery document.
Risk in the goods passes to you on delivery. Where you collect goods or nominate your own carrier, risk passes when the goods leave our premises.
6. Installation services
If we install equipment, you agree to provide, at your cost and before our team arrives:
- Safe, clear access to the site, including working-at-height access where needed.
- Adequate, stable electrical supply and earthing to the agreed points.
- Network connections or internet access required for content and monitoring.
- Written landlord, estate or building-owner consent for fixing equipment to the structure.
Where the structure you ask us to fix to is unsafe or unsuitable, we may stop work and charge for the time and materials already used. Dates and prices may change when site conditions differ from those disclosed at survey.
7. Warranty
New equipment carries a manufacturer-backed warranty of 12 months from delivery or commissioning, unless the quote states a different period. The warranty covers defects in materials and workmanship under normal use.
It does not cover damage from impact, liquid ingress outside the product’s rated protection, power surges, incorrect voltage, unauthorised repair or modification, normal wear, or failure to follow installation and operating instructions. Where a defect is covered we will repair or replace the item at our option.
8. Returns
Goods may be returned only with our written approval, in original packaging and unused condition, within 7 days of delivery. We may charge a restocking fee and the cost of return transport. Custom-built, special-order and installed items are not returnable unless faulty.
9. Permits and content
You are responsible for obtaining every approval needed to place and operate the equipment, including planning, outdoor advertising and signage permits, landlord consent and power-utility approvals, unless we agree in writing to apply on your behalf.
You are solely responsible for the content shown on screens you buy from us and must ensure it is lawful, does not infringe third-party rights and complies with advertising standards that apply to you.
10. Intellectual property
The website, its text, graphics, logos and layout belong to us or our licensors. You may view and print pages for your own business purposes only. Brand names and trade marks of manufacturers remain the property of their owners. Software supplied with equipment is licensed, not sold, under the manufacturer’s terms.
11. Liability
Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for loss of profit, revenue, advertising income, goodwill or any indirect or consequential loss. Our total liability for any claim relating to an order is limited to the amount you paid us for the goods or services that gave rise to the claim.
The website is provided “as is”. We try to keep information accurate but do not promise it is complete or error-free, and product availability may change without notice.
12. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, such as natural disaster, fire, strike, civil unrest, government action, import restrictions, port or customs delays, supplier failure or power-grid outages. The affected party will tell the other promptly and resume performance as soon as it can.
13. Suspension and termination
We may suspend or close an account, or cancel an order, if you breach these terms, fail to pay on time, or if we reasonably suspect fraud or unlawful use. Termination does not affect rights that have already arisen, including payment for goods and work delivered.
14. Governing law
These terms are governed by the laws of the U.S. state in which Digital Place Solution is registered and by applicable United States federal law, without regard to conflict-of-law rules. The parties will first try to resolve any dispute through good-faith discussion. If that fails, the state and federal courts located in that state have jurisdiction, unless the parties agree in writing to arbitration.
15. Changes to these terms
We may update these terms from time to time. The date at the top shows the latest version. Changes apply to orders placed after the update. Continued use of the website after a change means you accept the new terms.
